End User License Agreement (EULA)
By purchasing or using a copy of any software or application developed or created by the Octopia Studios team you agree to the EULA outlined below.
1. General Provisions
This End User License Agreement (EULA) governs all licenses granted by Octopia Studios for the use of Octopia Studios software (referred to as "the Software"). By purchasing a license key for Octopia Studios Software and/or using the Software, you agree to the terms outlined in this EULA. This EULA may be updated at any time, and Octopia Studios will notify you of any changes made to this EULA in this document.
2. License
2.1 License Grant
Upon purchasing, Octopia Studios grants you a non-exclusive, non-transferable, non-refundable, and revocable license to use the Software purchased from the Octopia Studios team.
2.2 Intellectual Property
Octopia Studios retains all intellectual property rights related to its Software. Purchasing a license key does not grant you ownership of the Software itself.
2.3 "As Is" Clause
All copies of Octopia Studios Software are provided "as is." While updates are likely for most Octopia Studios Software, they are not guaranteed.
3. Permitted Use and Restrictions
3.1 License Usage Limits
You are authorized to use your license key on only one network, unless you have purchased a volume license or multiple copies of the Software. If you exceed this limit, Octopia Studios reserves the right to block your license key.
3.2 Lawful Use
You must comply with applicable laws when using Octopia Studios Software. You are prohibited from:
Using the trial version on a system where it has already been used or after its expiration;
Renting, leasing, lending, selling, redistributing, sublicensing, or otherwise commercially exploiting the license key, the full version, the trial version, or the contributor version;
Transferring the license key, the full version, the trial version, or the contributor version without prior approval from Octopia Studios;
Using the full version, trial version, or contributor version for illegal purposes or to facilitate illegal activities;
Removing or modifying any disclaimers, copyright notices, or proprietary markings included with Octopia Studios Software;
Copying (except where expressly permitted by this EULA), adapting, translating, decompiling, reverse engineering, disassembling, attempting to derive source code, modifying, or creating derivative works of the Software or the license key, unless allowed by applicable law.
3.3 Software Modifications and Updates
Octopia Studios reserves the right to modify the Software at any time at its discretion, without prior notice, including to avoid third-party infringement claims or to provide updates and upgrades.
3.4 Open Source Components
Certain components of Octopia Studios Software are open source and are licensed under their respective open-source licenses.
3.5 API Interaction
Some portions of Octopia Studios Software may include an API to allow developers to interact with the provided code. Interaction is only permitted with this specific API.
3.6 Reselling and Distribution
Any attempt to resell or distribute our products, even if you have purchased the source code where applicable, is strictly prohibited unless you have obtained explicit permission from Octopia Studios.
3.7 Unauthorized Software Use
Using cracked or pirated versions of Octopia Studios Software is strictly forbidden. Any such use will result in the termination of your licenses and software, and Octopia Studios reserves the right to take action against users of unauthorized software.
4. Maintenance and Support
4.1 Update Notifications
Octopia Studios will make reasonable efforts to notify you of any updates or improvements available for the Software.
4.2 Access to Updates
You are entitled to receive updates free of charge until a project is officially discontinued. These updates may be released at any time, without a fixed schedule or obligation from Octopia Studios.
4.3 Availability of Support
Any support or maintenance provided by Octopia Studios, including updates and upgrades, will be provided on an "as is" basis without any warranty and as soon as reasonably practicable, depending on staff availability.
5. Disclaimer
You use Octopia Studios Software at your own risk. You assume full responsibility for the quality, performance, and accuracy of the Software. The Software and its accompanying documentation are provided "as is" and "as available." No oral or written advice provided by Octopia Studios, its developers, or its support team will create a right to a refund for the Software.
6. Termination
6.1 EULA Duration
This EULA remains in effect until the expiration or termination of the full version, trial version, or contributor version of the Software.
6.2 Automatic Termination
The trial version will automatically terminate at the end of its license period unless renewed by Octopia Studios. The contributor version will automatically terminate when you are no longer a contributor.
6.3 Termination for Breach
If you are found to be using a "cracked" or illegal copy of the Software, Octopia Studios reserves the right to take action. Octopia Studios may terminate your full version, trial version, or contributor version by blocking the license key immediately, without notice, if you violate the terms of this EULA.
6.4 Post-Termination Obligations
Upon termination of the full version, trial version, or contributor version, you must cease all use of the Software.
7. Governing Law and Dispute Resolution
This EULA is governed by and interpreted in accordance with European law, excluding its conflict of law rules. Any dispute between Octopia Studios and you must be submitted exclusively via a support ticket on the official Octopia Studios Discord server.
